Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Innerwall application and website (the "Service"), provided by [INNERWALL LLC] ("Innerwall," "we," "us"). By starting a trial, subscribing, or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. License

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Innerwall application for your internal professional use, on a per-seat basis. You may not: copy, redistribute, sublicense, sell, or rent the Service; reverse engineer, decompile, or attempt to extract the underlying models or source except where such restriction is prohibited by law; remove proprietary notices; or use the Service to build a competing product.

3. Trial and billing

Important — AI output is a draft, not a final authority

Innerwall's summaries, redactions, extractions, and answers are generated by an automated model and may be incomplete or incorrect. They are tools to assist a qualified professional, not a substitute for professional judgment. You are responsible for reviewing all output before relying on it. In particular, automated redaction may miss sensitive information; you must verify that any document is fully redacted before sharing or disclosing it. Innerwall does not provide legal, financial, medical, or other professional advice.

4. Your responsibilities

You are responsible for your use of the Service, for safeguarding your credentials and license keys, and for ensuring your use complies with all laws and professional obligations that apply to you, including those governing the handling of confidential, privileged, or regulated information.

5. Intellectual property

The Service, including the application, models we provide, brand, and all related materials, is owned by Innerwall and its licensors and is protected by intellectual property laws. You retain all rights to your own documents and content; we claim no ownership of and acquire no access to them.

6. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.

7. Limitation of liability

To the maximum extent permitted by law, Innerwall and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to Innerwall for the Service in the twelve (12) months preceding the claim.

8. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms or to comply with law. Provisions that by their nature should survive termination will survive.

9. Governing law

These Terms are governed by the laws of [STATE/JURISDICTION], without regard to conflict-of-laws rules. The courts located in [VENUE] will have jurisdiction over disputes, subject to any mandatory consumer protections in your jurisdiction.
